1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Cognitia ("Company," "we," "our," or "us") governing your access to and use of the Cognitia platform, software, APIs, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include both you and that organization.
By selecting an acceptance checkbox, clicking an acceptance button, submitting a payment order, or continuing to use the Services after being presented with these Terms, you provide an electronic signature and legally binding acceptance of these Terms, our Privacy Policy, and any applicable Cancellation and Refund Policy.
Trust-boundary obligation: customers are responsible for selecting and governing deployment mode (local, connected cloud, or air-gap) according to internal policy and regulatory obligations.
Operator governance obligation: tenant-scoped access controls, approval policies, and audit review remain customer operational responsibilities under these terms.
If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Cognitia provides an enterprise-grade platform for structured intelligence, offering:
- Intelligence Engines: AI-powered systems that transform operational data into actionable insights, behavioral intelligence, and predictive analytics
- Data Processing: Secure processing and analysis of your business data, customer signals, and operational metrics
- API Access: Programmatic access to platform capabilities for integration with your systems
- Analytics Dashboard: Web-based interface for configuring, monitoring, and analyzing intelligence outputs
- Integration Services: Connectors and webhooks for third-party systems
CSGA is provided as a digital SaaS security product for source-code, dependency, API, and governance assessment. Access may be provided through free trials, paid self-service subscriptions, or written enterprise agreements.
3. Account Registration and Security
3.1 Account Requirements
To access the Services, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- For business accounts: provide valid business registration and verification documents
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Implementing appropriate security measures (e.g., strong passwords, MFA)
- Promptly notifying us of any unauthorized access or security breach
You must not share your account credentials or allow others to access your account. We are not liable for losses arising from unauthorized account access resulting from your failure to secure your credentials.
3.3 Account Suspension and Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms or applicable laws
- Your account is involved in fraudulent, abusive, or illegal activities
- You fail to pay fees when due
- Your use poses security or legal risks to us or other users
- You provide false or misleading information
4. Subscription Plans and Pricing
CSGA subscription plans, usage limits, available billing periods, eligible payment schemes, and supported currencies are shown on the public Pricing page or in an applicable order form before checkout.
Prices may be displayed in USD, EGP, or another supported local currency. Unless an enterprise agreement states otherwise, checkout quotes freeze the exact amount, currency, billing period, selected plan, and applicable exchange-rate snapshot before payment starts.
Payment must be completed through the approved payment methods shown at checkout. For eligible card-payment flows, payment wording is presented as "Pay with Visa", "Pay with MasterCard", and "Pay with Meeza" where each scheme is eligible for the customer's country, currency, product, and tier.
You must provide explicit electronic acceptance of these Terms, the Privacy Policy, and the Cancellation and Refund Policy before a paid payment order is created.
4.1 Cancellation and Refunds
You may cancel your subscription at any time. Cancellation stops future renewal, and access continues until the end of the paid subscription period unless the account is suspended for breach, abuse, fraud, or legal risk.
Because CSGA is a digital SaaS/security product and service access is delivered electronically after activation, subscription fees are not refundable after purchase confirmation or service activation, except where required by mandatory law or expressly agreed in a signed enterprise agreement. 5. Acceptable Use Policy
5.1 Permitted Use
You may use the Services only for lawful business purposes consistent with these Terms.
5.2 Prohibited Activities
You must not:
- Violate Laws: Use Services for illegal activities, fraud, or to violate applicable laws/regulations
- Infringe Rights: Process data that infringes intellectual property, privacy, or other rights
- Abuse Resources: Excessive API usage, automated scraping, or attempts to circumvent usage limits
- Security Violations: Attempt to access, probe, or breach security measures; reverse engineer the platform
- Harmful Content: Process or generate content that is illegal, harmful, discriminatory, or violates third-party rights
- System Interference: Interfere with or disrupt Services, servers, networks, or other users
- Competing Services: Use Services to build or train competing products without written consent
- Resale: Resell or redistribute access to Services without authorization
5.3 Compliance Obligations
You are solely responsible for:
- Ensuring your use complies with all applicable laws (GDPR, CCPA, HIPAA, etc.)
- Obtaining necessary consents for processing personal data
- Implementing appropriate data handling and security measures
- Compliance with industry-specific regulations applicable to your use case
6. Your Data and Intellectual Property
6.1 Your Data Ownership
You retain all ownership rights to your data. "Your Data" includes all data, content, information, and materials you upload, submit, or process through the Services.
6.2 License to Process Your Data
You grant us a limited, non-exclusive, worldwide license to access, use, and process Your Data solely to:
- Provide, operate, and maintain the Services
- Generate insights, analytics, and intelligence outputs as requested by you
- Improve service performance, reliability, and security
- Comply with applicable legal obligations
This license terminates when you delete Your Data or close your account, except for data retained according to our Privacy Policy or legal requirements.
6.3 Your Representations
You represent and warrant that:
- You own or have necessary rights to Your Data
- Your Data does not violate third-party rights or applicable laws
- You have obtained all necessary consents for processing personal data
- Processing Your Data through our Services is lawful in your jurisdiction
6.4 Our Intellectual Property
We retain all rights, title, and interest in the Services, including all software, algorithms, models, designs, documentation, and related intellectual property. These Terms do not grant you ownership of any intellectual property in the Services.
6.5 Feedback and Suggestions
If you provide feedback, suggestions, or ideas about the Services, we may use them without obligation or compensation to you. You grant us a perpetual, irrevocable, worldwide license to such feedback.
7. Service Level and Support
7.1 Service Availability
We strive to maintain service availability and are working toward the following targets:
- Target Uptime: Best-effort availability during development phase
- Maintenance Windows: We will announce scheduled maintenance when possible
- Service Interruptions: May occur during active development and deployment
Note: As we are in active development, formal SLAs and uptime guarantees are not yet available. We are working toward production-grade reliability.

7.3 Changes to Services
As we are actively developing the platform, we may modify, update, add, or remove features with or without notice. We will make reasonable efforts to communicate significant changes.
8. Warranties and Disclaimers
8.1 Limited Warranty
We warrant that the Services will perform substantially in accordance with our documentation under normal use. This warranty does not cover issues caused by misuse, unauthorized modifications, or third-party actions.
8.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
- We do not warrant that Services will be uninterrupted, error-free, or completely secure
- AI-generated outputs may contain errors, biases, or inaccuracies; you are responsible for validating outputs
- We do not guarantee specific business outcomes, insights, or results
- You are responsible for decisions made based on Services outputs
Important: AI and machine learning systems have inherent limitations. Always implement appropriate validation and human oversight for critical business decisions.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COGNITIA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, DATA BREACHES, OR SERVICE INTERRUPTIONS
- RELIANCE ON OR USE OF SERVICES OUTPUTS OR GENERATED INTELLIGENCE
- COST OF PROCUREMENT OF SUBSTITUTE SERVICES
Total Liability Cap: Unless a signed enterprise agreement states otherwise, our total liability for all claims arising from or related to these Terms or the Services shall not exceed the fees paid by you for the Services during the three months before the event giving rise to the claim, or $1,000 USD if no fees were paid.
Enterprise customers may negotiate different liability terms in their contracts. Some jurisdictions do not allow limitation of certain warranties or liabilities; in such cases, these limitations apply to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Cognitia, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Services
- Your violation of these Terms or applicable laws
- Your Data or any claim that Your Data infringes third-party rights
- Your breach of representations and warranties
- Unauthorized access to your account due to your failure to secure credentials
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.
11. Data Processing and Privacy
Our processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms.
11.1 Data Processing
For customers processing personal data, we are developing data processing agreements (DPA) to meet regulatory requirements. If you require a DPA for GDPR, CCPA, or other compliance needs, please contact us at support@cognitia-ai.ai.
11.2 Data Locations
Data is processed using cloud infrastructure in various locations. Contact us if you have specific data residency requirements.
12. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care used to protect its own confidential information, but no less than reasonable care.
"Confidential Information" includes non-public business, technical, and financial information, as well as Your Data. Confidential Information does not include information that:
- Is or becomes publicly available through no breach
- Was rightfully known prior to disclosure
- Is independently developed without use of confidential information
- Is disclosed with written approval
13. Term and Termination
13.1 Term
These Terms begin when you first access the Services and continue until terminated by either party.
13.2 Termination by You
You may terminate at any time by:
- Canceling your subscription through account settings
- Contacting support to close your account
- Ceasing use of the Services (free accounts)
13.3 Termination by Us
We may suspend or terminate your access immediately without notice if:
- You materially breach these Terms
- Non-payment of fees after applicable notice or payment failure handling
- Your use poses legal or security risks
- Required by law or regulatory authority
For non-material breaches, we will provide reasonable notice and opportunity to cure when feasible.
13.4 Effect of Termination
Upon termination:
- Your access to Services is immediately revoked
- You remain liable for all fees incurred prior to termination
- You may export Your Data within 30 days (after which it will be deleted per our retention policy)
- Provisions that by their nature should survive (liability, indemnification, dispute resolution) remain in effect
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to conflict of law principles.
14.2 Jurisdiction
Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of Egypt.
14.3 Informal Resolution
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@cognitia-ai.ai. We will make reasonable efforts to resolve disputes amicably within 30 days.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, Cancellation and Refund Policy, and any applicable order forms or contracts, constitute the entire agreement between you and Cognitia regarding the Services.
15.2 Modifications
We may modify these Terms at any time. Material changes will be notified via email or in-app notification at least 30 days before taking effect. Your continued use after changes take effect constitutes acceptance.
15.3 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets with notice to you.
15.4 Severability
If any provision is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions remain in full effect.
15.5 Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision. Waivers must be in writing to be effective.
15.6 Force Majeure
Neither party shall be liable for delays or failures due to causes beyond reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet/utility failures.
15.7 Export Controls
The Services may be subject to export control laws. You agree to comply with all applicable export and re-export restrictions and regulations.
15.8 Government Users
If you are a U.S. government entity, the Services are "Commercial Items" as defined in FAR 2.101, consisting of commercial computer software and documentation.
